1.01 Authorization. At a meeting held August 21, 2018, this Board determined to sell and issue general obligation taxable OPEB refunding bonds of Independent School District No. 622 (the “Issuer” or the “District”). Said Bonds shall hereinafter be referred to as the “Bonds” or the “Refunding Bonds.” In the Terms of Offering, the District reserved the right, after proposals were opened and prior to award, to increase or decrease the principal amount of the Bonds offered for sale or the amount of any individual maturity, with the increase or decrease to occur in multiples of $5,000 in any of the maturities. The Refunding Bonds, together with other available funds of the Issuer in the amount of $__________, shall provide funds for a current refunding of the Refunded Bonds and to prepay on February 1, 2019, the 2020 to 2027 maturities, aggregating $13,945,000 in principal amount, of the Issuer’s General Obligation Taxable OPEB Bonds, Series 2009A, bearing a date of original issue of February 1, 2009 (the “Refunded Bonds”). The Board has publicly received and considered all proposals presented in conformity with the Terms of Offering contained in the Official Statement, which are hereby ratified and confirmed in all respects and are incorporated herein by reference as though fully specified in this paragraph. The most favorable of such proposals is ascertained to be that of Piper Jaffray, Minneapolis, MN (the “Purchaser”) to purchase the Bonds at a price of $13,949,314.54 plus interest accrued to settlement, and upon the further terms and conditions set forth in the Terms of Offering contained in the Official Statement and this resolution. Said proposal is hereby accepted and the sale of the Bonds is hereby awarded to said Purchaser.

OCTOBER 30, 2018 

Chair Yener called the meeting to order at 3:00 p.m. with the following present: Chair Yener, Vice Chair Livingston, Clerk Augé, Treasurer Neve, Directors Anderson, Coborn, Hunt, and Superintendent Osorio. 

Others present were: Josh Anderson, Randy Anderson, Kim Cavallaro, Don Lifto, Troy Miller, Troy Miller (LHB Corporation), and Barb Nicol. 

In the audience: Rory Sanders. 

Yener called the retreat to order and Osorio led an ice breaker. 

Don Lifto from Springsted reviewed the results of a survey that was administered between October 2 – 5, 2018 to 400 registered voters who reside in District 622. The main body of the survey consisted of two sections; bond and technology, and participants were asked to respond to potential improvements as well as potential tax impacts. Findings from the bond levy survey indicated support of over 60% at the $65 impact level. Findings from the technology levy indicated support of over 65% at the $30 impact level. 

Osorio shared a draft facilities proposal and led a discussion on a vision for District 622 facilities which would beautify schools and include modern learning space with buildings promoting safety, health, wellness and efficiency; maximize efficiency of energy and staffing costs; have school boundaries that promote integration and identity; expand student support services at every site; prepare for future fluctuations in enrollment; and increase community access to buildings. She discussed the future shifts in demographics, current space challenges and finance options. Conversation took place on possible timelines of the hypothetical proposals and communication plans were mentioned. This topic will be discussed further at the November 13, 2018 work study session which will begin immediately following the November 13, 2018 special meeting (approximate start time of 4:45 p.m.).

2. As specified in the Election Results, a total of 54,712 votes were cast at said election on the election of three School Board members for three, four-year term vacancies on the Board caused by expiration of term on January 1 next following the general election, as follows:

WORK STUDY SESSION

SCHOOL BOARD

NOVEMBER 13, 2018 

Chair Yener called the meeting to order at 4:45 p.m. with the following present: Chair Yener, Vice Chair Livingston, Clerk Augé, Treasurer Neve, Directors Anderson, Coborn, Hunt, and Superintendent Osorio. 

Others present were: Randy Anderson, Josh Anderson, Kim Cavallaro, Troy Miller, Troy Miller (LHB Corporation). 

In the audience: Jo McCabe and Rory Sanders. 

R. Anderson presented a brief overview of the 2017-18 Audit & Fund Balance, and reviewed the 2019-2020 Budget Timeline. 

Board members discussed the Crosswinds school building located in the South Washington County School District and mentioned that St. Paul Schools will be opening the building in the Fall of 2019. 

Board members continued their conversation from the October 9, 2018 work session on board officer succession. This topic will be reviewed again at the December 18, 2018 reflection study session. 

Yener reviewed the preference list of board committees and liaisons. Further discussion will take place on this topic at the December 18, 2018 reflection session, with proposed action at the January special meeting.

Osorio shared additional facilities information and led a discussion on process and timeline options. She mentioned that she will continue to have facilities conversations at upcoming board meetings.

Library 

Approval of the following actions: 

- Resolution No. 2018-118, transfer of $6,000 from the Jordan bequest to the City of Marine for the purchase of library resources at the Marine Library. 

- Library Director Keith Ryskoski introduced Mary Burke, Board Chair of the Marine Library. Ms. Burke expressed appreciation to the County Board and others for their support, and shared highlights of Marine Library programming, accomplishments, communications and events. Also present were Jim Maher, Marine Library board member, and Bill Miller, Marine on St. Croix City Council member. 

Public Works 

Approval of the following actions: 

- Amendment No. 1 to Contract 10374 with Schreiber Mullaney Construction in the amount of $93,257 for general construction services to complete the HealthPartners and Crisis Response build-out projects. 

- Lease agreement between Lakeland Plaza, LLC, and Washington County for Valley Library. 

- Amendment No. 1 to Contract 11502 with HCM Architects in the amount of $72,000 for design services for Valley Library. 

- Contract 12105 with TKDA in the amount of $214,707 for the Lake Elmo Park Reserve improvement project. 

- Resolution No. 2018-120, authorizing one free annual Washington County Parks vehicle permit for military veterans with service connected disabilities, current active duty military personnel, spouse of currently deployed active duty military personnel, and surviving spouse of military personnel who receives dependency and indemnity compensation. 

Sheriff’s Office 

Approval of the following actions: 

- Grant agreement between the Minnesota Department of Public Safety-Division of Homeland Security and Emergency Management, and the Washington County Sheriff’s Office in the amount of $109,519. 

- Resolution 2018-119, amend an agreement between the Washington County Sheriff’s Office and Visual Labs, Inc.
